These Terms of Use (“Terms”) govern your access to and use of the website and services provided by Vereda (the “Site” and “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1) Eligibility — Homeowners Only

You represent and warrant that you: (a) are at least 18 years old; (b) currently own a residential property (as a titled owner) in the United States; and (c) are using the Services solely in your capacity as that property’s homeowner.

Brokers/agents, investors using the Services for lead generation, prospective buyers, tenants, and all other non-homeowners are not permitted to use the Services. We may require proof of ownership and may suspend or terminate access for any violation or misrepresentation.

2) License & Permitted Use

We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for your personal, non-commercial evaluation and management of your own home sale or ownership decisions. You may not use the Services to provide professional services to others, to build competing products, or to resell outputs.

3) Prohibited Conduct

Use the Services if you are a broker/agent or otherwise a non-homeowner.
Scrape, harvest, or mine data; circumvent security; or perform automated queries at scale.
Upload unlawful, infringing, or misleading content; violate others’ privacy rights.
Use the Services in a manner that violates fair housing or anti-discrimination laws.
Reverse engineer the Services or misuse any AI outputs.

4) AI Outputs; No Advice; No Brokerage

The Services may generate estimates, insights, and recommendations using artificial intelligence and third-party data. Outputs are informational only and may be incomplete or incorrect. They are not legal, tax, financial, investment, appraisal, or brokerage advice. Vereda is not a real estate broker, agent, or MLS participant and does not represent you in any transaction. You are solely responsible for your decisions and compliance with applicable laws. Consult qualified professionals as needed.

5) Accounts, Privacy & Data

You are responsible for your account and credentials. Our collection and use of personal information is described in our Privacy Policy (incorporated by reference). By using the Services, you consent to our processing of your data to operate, improve, and secure the Services.

6) Your Content; License

You retain ownership of content you submit. You grant Vereda a worldwide, non-exclusive, royalty-free license to host, process, and use your content (including to train and improve models if permitted by our Privacy Policy or your settings) solely to provide and enhance the Services.

7) Third-Party Services & Links

The Services may reference third-party sites, data, or services. Vereda is not responsible for third-party content or practices; your use of them is at your own risk and may be subject to separate terms.

8) Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, VEREDA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VEREDA AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS. OUR TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM.

10) Indemnification

You will defend, indemnify, and hold harmless Vereda from and against any claims, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Services or violation of these Terms.

11) Suspension & Termination

We may suspend or terminate access at any time, including for suspected non-homeowner use, misrepresentation, or misuse. Upon termination, your right to use the Services ends.

12) Changes

We may update these Terms from time to time. Material changes will be posted on the Site with a new “Last updated” date. Your continued use after changes means you accept the revised Terms.

13) Governing Law

These Terms are governed by the laws of [State], without regard to conflicts of law. You agree to the exclusive jurisdiction of the state and federal courts located in [County, State].
